Mutual Non Disclosure Agreement

This Mutual NDA governs your access to TokenUity's procurement, pricing, and security documentation. Agreeing to it is required to receive a procurement docs access link.
1. Parties & Purpose
This Mutual Non Disclosure Agreement (NDA) is entered into between you (the Requester) and the operator of TokenUity (the Discloser) for the sole purpose of evaluating TokenUity's procurement, pricing, and security documentation. By checking the box to agree to this NDA on the procurement request form, you confirm your acceptance on behalf of yourself and, where applicable, the organization you represent.
2. Confidential Information
Confidential Information means the procurement, pricing, security, and integration documents TokenUity makes available through the time bound access link, together with any related technical, commercial, or operational information disclosed for evaluation purposes. It does not include information that is or becomes public through no breach by you, was known to you prior to disclosure, is independently developed without reference to it, or is required to be disclosed by law or court order (with prompt notice where lawful).
3. Obligations
You will use Confidential Information solely to evaluate TokenUity for procurement purposes, protect it using at least the same care you use for your own confidential information (and no less than reasonable care), limit access to those within your organization with a need to know, and not copy, redistribute, or reverse engineer the materials beyond the evaluation. You will not use Confidential Information, or any documentation derived from it, to train, fine tune, evaluate, or benchmark any competing product, model, or service.
4. No License
No intellectual property rights are transferred under this NDA. Confidential Information remains the property of TokenUity or its licensors and is made available for limited evaluation use only.
5. Term & Duration
The obligation of confidentiality survives for two (2) years from the date you access the materials. The time bound access link itself expires twenty four (24) hours from issue and does not grant continued access.
6. Return / Destruction
Upon request, or when you no longer need the materials for evaluation, you will delete or destroy the Confidential Information in your possession and confirm doing so if asked.
7. No Warranty & Limitation of Liability
Confidential Information is provided “as is” without warranties. Neither party is liable for indirect or consequential damages arising from the disclosure. Each party's aggregate liability under this NDA is limited to the lesser of actual damages proven or the fees paid by the Requester to TokenUity in the twelve (12) months preceding the incident, consistent with the liability caps in the Master Services Agreement. TokenUity manages subprocessor and infrastructure risk through contractual controls, security reviews, and the technical and organizational measures described in the Data Processing Agreement.
8. Governing Law & Changes
This NDA is governed by the laws of the State of Maryland, United States, without regard to conflict of laws principles. We may update this NDA; material changes are reflected by the “Last updated” date.
