Intellectual Property

1. Platform Intellectual Property

TokenUity, including the FlowTabulator engine, all software, source code, calculation methodologies, models, detector rulesets, weighting logic, trade secrets, user interface design, documentation, branding, and the TokenUity and FlowTabulator trade names and marks, is and remains the exclusive intellectual property of the Platform operator and is protected by copyright, trade secret, and other applicable laws. No title to or ownership of the Platform is transferred to you or your organization under these Terms or any order. You receive only the limited use license described in the Terms of Service.

2. Customer Data & Outputs: Customer Ownership

You retain all right, title, and interest in the data you submit to the Platform (“Customer Data”) and in any reports, calculations, snapshots, and outputs generated from or derived from your Customer Data (“Outputs”). Nothing in these Terms or any order transfers ownership of your Customer Data or Outputs to the Platform operator. The Platform uses a tiered data architecture: report snapshots you save to the Sync Vault are end to end encrypted under a passphrase that never leaves your device, and the operator cannot access, view, or process those decrypted vault contents; however, other data you save (calculation records, compensation profiles, and aggregate metrics) is stored on Platform servers under row level access control, is not end to end encrypted by you, and may be accessed and processed by the operator solely to operate the Platform, including organization level roll ups and alerting. Calculations themselves run client side in your browser.

3. License to the Operator

To the extent necessary to provide the service, you grant the Platform operator a limited, nonexclusive, royalty free, nontransferable license to: (a) store your end to end encrypted Sync Vault snapshots, which by design the operator cannot decrypt or access in cleartext; and (b) store and process your server side operational data (saved calculation records, loaded labor and compensation profiles, and aggregate metrics) under row level access control solely as needed to operate, secure, and provide the Platform, including organization level roll ups and alerting. Labor profile and group identifiers are one way hashed in your browser before persistence; user typed report labels on saved calculation records are not hashed and are stored server side as typed. This license terminates with respect to any deleted data upon deletion or termination of your subscription.

4. License to You

Subject to your purchased package and seat entitlements and your continued compliance with the Terms of Service and Acceptable Use Policy, the operator grants you a nonexclusive, nontransferable, revocable license to access and use the Platform and to generate, export, and retain your Outputs for your internal business purposes during your subscription term.

5. Restrictions

• You will not reverse engineer, decompile, disassemble, or otherwise attempt to derive the Platform's source code, calculation methodologies, or underlying models.
• You will not remove, alter, or obscure any proprietary notices, marks, or watermarks on or in the Platform or your Outputs.
• You will not use the Platform or any Output to create a competing product or service.
• You will not sublicense, sell, rent, lease, or otherwise transfer your access to the Platform to any third party.

6. Outputs Are Yours: No Claim by the Operator

The operator makes no claim of ownership over your Customer Data or Outputs and asserts no intellectual property right in them. You are free to export, share, combine, or dispose of your Outputs as you see fit, subject to your obligations under the Acceptable Use Policy and applicable law. Exported files are produced and downloaded on your device; the Platform does not retain or transmit the contents of your exports.

7. Feedback

If you provide the operator with suggestions, ideas, or feedback regarding the Platform, you grant the operator a nonexclusive, royalty free, perpetual, and irrevocable license to use and incorporate that feedback into the Platform without any obligation or compensation to you, to the extent permitted by applicable law.

8. Third Party Materials

The Platform may display or link to content, fonts, or materials owned by third parties. Such third party materials remain the property of their respective owners and are provided under their own terms. The operator does not claim ownership of any third party materials.

9. Infringement Claims

The operator respects the intellectual property rights of others and expects users to do the same. If you believe that any content or material accessible on or through the Platform infringes your intellectual property rights, you may submit a notice to the operator through the in app Report an Issue channel, category Security, with sufficient detail to identify the alleged infringement. The operator will review and respond to valid notices in accordance with applicable law.

10. Trademarks

TokenUity and FlowTabulator, together with associated logos and marks, are trade names and marks of the Platform operator. All other trade names, marks, or brands that may appear on the Platform are the property of their respective owners. Nothing in these Terms grants you any right to use any trade name, mark, or branding of the operator except as expressly stated herein.
